VENDOR TERMS, CONDITIONS & LIABILITY WAIVER

This Vendor Agreement (“Agreement”) is entered into between For The People Events (“FTPE”) and the undersigned vendor (“Vendor”). By submitting an application, submitting payment, or participating in any FTPE-produced event at Galleria Tyler Mall, Vendor acknowledges that they have read, understood, and agree to be legally bound by the terms set forth herein.
1. FINAL SALE / NO REFUNDS / NO TRANSFERS
All fees, including but not limited to booth fees, deposits, installment payments, and payment plans, are final, non-refundable, and non-transferable.
Under no circumstances shall refunds, credits, substitutions, or date changes be issued.
Failure to attend or participate for any reason, including but not limited to medical circumstances and conditions, illness, emergencies, travel issues, personal matters, business performance, lack of sales, or dissatisfaction with the event, shall not constitute grounds for a refund or credit.
2. EVENT AUTHORITY & MALL GOVERNANCE
Vendor acknowledges that Galleria Tyler Mall management retains sole and exclusive authority over all activities conducted on mall property.
FTPE acts solely as an event coordinator and does not possess authority to override mall decisions.
If Vendor is restricted, relocated, suspended, or removed by mall management for any reason, FTPE shall bear no liability.
If applicable, the booth fee for the affected date only may be refunded at FTPE’s sole discretion.
Vendor waives any claim for damages, lost income, profits, marketing exposure, travel expenses, or reputational harm.
3. WEATHER, FORCE MAJEURE & EVENT MODIFICATION
Events are subject to modification, rescheduling, or cancellation due to weather conditions, acts of God, safety concerns, or circumstances beyond FTPE’s control.
In such cases, Vendor agrees that rescheduling to an alternate date constitutes full performance of FTPE’s obligations.
No refunds shall be issued for weather-related or force majeure events.
4. ATTENDANCE & OPERATIONAL REQUIREMENTS
Vendor shall remain fully operational for the entire scheduled duration of the event.
Early departure, partial setup, or failure to operate without prior written authorization may result in immediate removal and exclusion from future FTPE events without refund.
5. SETUP, DISPLAY & COMPLIANCE
Vendor agrees to comply with all FTPE and mall-mandated requirements, including but not limited to:

Display height not to exceed 60 inches

Professional presentation standards

Clear pricing on all items
FTPE and mall management reserve the right to require immediate corrective action or removal for non-compliance.
6. CLEANLINESS & PROPERTY DAMAGE
Vendor is solely responsible for maintaining cleanliness of their assigned area.
Improper disposal of trash or damage to mall property shall result in fines, removal, and/or liability for repair costs.
A $65 cleaning fine may be assessed at FTPE’s discretion.
7. PAYMENTS & DEFAULT
Payment is required only upon official approval.
Payment deadlines are strictly enforced.
Failure to complete payment plans in full and on time constitutes default and results in forfeiture of Vendor’s space without refund.
8. MERCHANDISE APPROVAL & PROHIBITED ITEMS
Vendor may sell only items expressly approved by FTPE.
FTPE reserves the right to prohibit or remove merchandise deemed inappropriate, unsafe, non-compliant, or in violation of mall policies.
Sale of unapproved items may result in immediate removal without refund.
9. MARKETING & MEDIA CONSENT
Vendor grants FTPE an irrevocable, royalty-free license to use photographs and video recordings of Vendor, staff, booth, and merchandise for promotional and commercial purposes without compensation.
10. LICENSES, PERMITS & TAX OBLIGATIONS
Vendor represents and warrants that they hold all required permits, licenses, and insurance and are solely responsible for all applicable taxes.
FTPE assumes no responsibility for Vendor’s legal or regulatory compliance.
11. ASSUMPTION OF RISK & INDEMNIFICATION
Vendor assumes all risks associated with participation.
Vendor agrees to defend, indemnify, and hold harmless FTPE, its owners, employees, contractors, affiliates, and Galleria Tyler Mall management from any and all claims, demands, damages, losses, liabilities, costs, and expenses, including attorney’s fees, arising out of or related to Vendor’s participation.
12. LIMITATION OF LIABILITY
Under no circumstances shall FTPE be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunities.
13. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
14. ACCEPTANCE OF TERMS
Vendor’s submission of application, payment, or participation constitutes full legal acceptance of this Agreement.
No oral statements or representations shall modify these terms.
